Please read these Terms carefully before using our services or website. By accessing our website, requesting a demo, engaging our services, or using The Brain AI platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use our services.
These Terms of Service ("Terms") constitute a legally binding agreement between you (the individual or business entity accessing or using our services, "you" or "Client") and InnovoServe Technologies Inc. ("InnovoServe," "we," "us"). These Terms govern your use of:
By using any of the above, you confirm that you are at least 18 years of age, have the authority to bind your business (if applicable), and agree to these Terms in full.
InnovoServe Technologies Inc. is a Canadian corporation headquartered at 18 Couples Court, Barrie, ON L4M 6V5. We are an authorized Canadian reseller of Keenon® and Pudu Robotics® service robots, and we operate The Brain, an AI-powered missed-call text-back and SMS automation platform for Canadian businesses.
InnovoServe is not a manufacturer of robots. We are an authorized reseller and integration partner. Warranties on hardware products are governed by the manufacturer's terms, as described in Section 4.
InnovoServe provides the following categories of services:
Specific terms and conditions for individual services are set out in the applicable service agreement or statement of work signed by the parties, which supplement these Terms. In case of conflict between a signed service agreement and these Terms, the signed service agreement shall prevail.
InnovoServe is an authorized Canadian reseller for Keenon Robotics and Pudu Robotics. We are authorized to sell, deploy, and service their products in Canada. We are not agents of, affiliated with, or responsible for the acts or omissions of these manufacturers beyond our contractual obligations as reseller.
Hardware products carry the manufacturer's limited warranty. Warranty terms vary by product and manufacturer. InnovoServe will facilitate warranty claims on your behalf with the applicable manufacturer but is not itself the warrantor of the hardware. InnovoServe provides its own service-level agreement (SLA) for deployment, support, and software-related services, as specified in your service agreement.
InnovoServe offers site assessments to determine the suitability of our products for your facility. Site assessments are provided in good faith based on information available at the time. InnovoServe does not guarantee specific performance outcomes. Actual results may vary based on facility conditions, staff adoption, workflow changes, and other factors outside our control.
Deployment services are performed by InnovoServe-trained technicians. Client is responsible for providing adequate access to premises, cooperation of staff, and safe working conditions. Any delays caused by Client's failure to provide access or cooperation may result in additional fees.
Where offered, no-risk pilots are subject to separate pilot agreement terms. "No-risk" refers to the ability to return the product at the end of the pilot without ongoing obligation, subject to the specific conditions of the pilot agreement. Equipment must be returned in good condition.
The Brain is an AI-powered platform that automatically sends SMS text messages to callers who reach your business and receive no answer, capturing leads and booking appointments on your behalf. The service operates using A2P (Application-to-Person) compliant 10DLC phone numbers.
By using The Brain, you represent and warrant that:
InnovoServe provides default message templates and AI response frameworks. You may customize these within the parameters of our platform. You are responsible for the accuracy and legality of any custom content you configure. InnovoServe reserves the right to review and require modification of message content that, in our sole determination, violates applicable laws, carrier policies, or our Acceptable Use Policy.
We aim to maintain high availability for The Brain platform but do not guarantee uninterrupted service. Downtime may occur for maintenance, carrier network issues, or circumstances beyond our control. InnovoServe is not liable for missed messages or lost leads resulting from service interruptions.
InnovoServe reserves the right to suspend or terminate The Brain service immediately if we determine, in our sole discretion, that your account is being used in violation of these Terms, applicable law, or carrier acceptable use policies. We will provide notice where practicable.
A2P 10DLC: InnovoServe's SMS campaigns are compliant with the A2P 10DLC framework with major US carriers. Clients using The Brain benefit from this registration. Clients are responsible for ensuring their use of The Brain complies with all applicable laws and carrier policies in their jurisdiction.
When using The Brain, InnovoServe will include the following disclosures in all initial SMS messages sent on your behalf:
You must not instruct us to remove these required disclosures. Doing so will result in suspension of your account.
InnovoServe will automatically process STOP replies and suppress future messages to any number that has opted out. You will be notified of opt-outs via your dashboard. You must not attempt to re-engage opted-out contacts via The Brain or any other InnovoServe channel without obtaining fresh consent.
Businesses using The Brain to send commercial electronic messages to Canadian recipients are responsible for ensuring they have the requisite express or implied consent under CASL. InnovoServe provides the technical platform; you are the "sender" of commercial electronic messages for CASL purposes. You agree to maintain consent records and provide them to InnovoServe or regulatory authorities upon request.
You agree not to use InnovoServe services, including The Brain platform, to:
Violation of this Acceptable Use Policy may result in immediate service suspension, account termination, and may expose you to legal liability.
Fees for robot products, deployment services, and The Brain platform are set out in your applicable service agreement or quote. All prices are in Canadian dollars (CAD) unless otherwise stated and are exclusive of applicable taxes (HST/GST).
Unless otherwise agreed in writing, invoices are due within 30 days of the invoice date. InnovoServe reserves the right to charge interest on overdue amounts at a rate of 2% per month (24% per annum) from the due date until paid.
The Brain and other subscription-based services are billed on the cycle specified in your service agreement (monthly or annually). Subscriptions auto-renew unless cancelled in accordance with Section 8.4.
Either party may cancel subscription services with 30 days written notice prior to the next renewal date. Cancellations made after the renewal date are effective at the end of the current billing period. Robot deployment projects and one-time services are non-refundable once commissioned, unless otherwise specified in your service agreement.
Refunds are at InnovoServe's discretion and will be evaluated on a case-by-case basis. Hardware products are subject to the manufacturer's return policy. Services rendered are generally non-refundable.
All content on our website and within our platforms, including text, graphics, software, trademarks, and service marks, is the property of InnovoServe Technologies Inc. or its licensors. You may not reproduce, distribute, or create derivative works without our express written consent.
KEENON® is a registered trademark of Keenon Robotics. Pudu Robotics® marks are owned by Pudu Technology Inc. InnovoServe uses these marks under authorization and does not claim ownership of them.
You grant InnovoServe a limited, non-exclusive license to use your business name and logo for the purpose of identifying you as a client or deployment partner (e.g., in case studies), subject to your prior approval for each specific use.
Services are provided "as is" and "as available" without warranty of any kind, express or implied, to the maximum extent permitted by applicable law. InnovoServe does not warrant that services will be uninterrupted, error-free, or that specific results will be achieved (including lead capture rates, delivery efficiency gains, or appointment bookings).
To the maximum extent permitted by applicable Canadian law, InnovoServe's total liability to you for any claim arising out of or related to these Terms or our services, whether in contract, tort, or otherwise, shall not exceed the fees paid by you to InnovoServe in the 3 months immediately preceding the claim.
InnovoServe shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to: lost profits, lost revenue, lost data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.
InnovoServe is not liable for failure to perform any obligation under these Terms where such failure results from causes beyond our reasonable control, including but not limited to: natural disasters, government actions, carrier network outages, cyberattacks, labour disputes, or pandemic.
You agree to indemnify, defend, and hold harmless InnovoServe Technologies Inc. and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you agree to the collection and use of your information as described in our Privacy Policy.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If not resolved within 30 days, the dispute shall be submitted to mediation under the auspices of a mutually agreed mediator. If mediation fails, the parties submit to the exclusive jurisdiction of the courts of the Province of Ontario.
Notwithstanding the foregoing, InnovoServe may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
InnovoServe reserves the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting updated Terms on our website and, for active service clients, notifying you by email. Your continued use of our services after the effective date of the updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must cease using our services and provide written notice of termination.
